  • Institutional Subscription Account means a unique account created by You to access our Service on a subscription basis by the Company to You which allows all teachers at one institution to access our Service.
  • Service refers to the Website and its Content.
  • Subscriber refers to the individual or institution that has contracted a Subscription.
  • Subscription refers to the services or access to the Service offered on a subscription basis by the Company to You.
  • Subscription Account means a unique account created by You to access our Service on a subscription basis by the Company to You.
  • The Terms and Conditions (also referred as ‘Terms’) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

Subscription Accounts

 

When You create a Subscription Account with Us, You must provide Us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your Subscription Account on Our Service.

 

You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password.

 

You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

 

Individual Subscription Accounts are for individual usage. You agree not to share your Subscription Account with any other person unless your account is an Institutional Subscription Account, set up under separate arrangements with Film English. In the event of a breach of the above prohibition, Film English has the right to disable Your Subscription Account without full or partial refund of the subscription costs.

 

Institutional Subscription Accounts allow all the teachers at one institution to access the Service. You agree not to share your Subscription Account with any other person outside your institution. In the event of a breach of the above prohibition, Film English has the right to disable Your Subscription Account without full or partial refund of the subscription costs.

 

The use of an Individual Subscription Account by schools or commercial companies is prohibited. In the event of a breach of the above prohibition, Film English will impose a contractual penalty of USD 1000 on the entity using the Individual Subscription Account for each case of violation.

 

By subscribing, You agree to be fully responsible for all activities that occur under Your username and password.

 

You are required to immediately and unambiguously inform Us via the contact details indicated in this document, if You think Your personal information, including but not limited to Your Subscription Account, access credentials or personal data, have been violated, unduly disclosed or stolen.

 

Subscription Account suspension and deletion

 

Film English reserves the right, at its sole discretion, to suspend or delete at any time and without notice, Individual Subscription Accounts and Institutional Subscription Accounts which it deems in violation of these Terms.

 

The suspension or deletion of Individual Subscription Accounts and Institutional Subscription Accounts shall not entitle You to any claims for compensation, damages or reimbursement.

 

The suspension or deletion of Individual Subscription Accounts and Institutional Subscription Accounts due to causes attributable to You, does not exempt You from paying any applicable fees or prices.

 

Payments and subscriptions

 

Prices

 

Users are informed during the purchasing process and before order submission, about any fees, taxes and costs that they will be charged. Prices on this Website are displayed including all applicable fees, taxes and costs.

 

Methods of payment

 

Information related to accepted payment methods are made available during the purchasing process.

 

Some payment methods may only be available subject to additional conditions or fees. In such cases related information can be found in the dedicated section of this Website.

 

All payments are independently processed through third-party services (Stripe and PayPal). Therefore, this Website does not collect any payment information – such as credit card details – but only receives a notification once the payment has been successfully completed.

 

If payment through the available methods fail or is refused by the payment service provider, the Company shall be under no obligation to fulfil the purchase order. Any possible costs or fees resulting from the failed or refused payment shall be borne by You.

 

Subscription period

 

The Service is available only with a paid Subscription. You will be billed in advance on a recurring and periodic basis (annually) for an Individual Subscription or an Institutional Subscription, depending on the type of Subscription plan you select when purchasing the Subscription.

 

At the end of each period, Your Subscription will automatically renew under the exact same conditions unless You cancel it.

 

Purchasing the Subscription entitles You to use the materials only while the Subscription is active.

 

Subscription cancellations

 

You may cancel Your Subscription renewal through Your Account settings page at any time. You will not receive a refund for the fees You already paid for Your current Subscription period and You will be able to access the Service until the end of Your current Subscription period. You are responsible for cancelling Your Subscription. If You do not cancel Your Subscription before the day Your Subscription is due to automatically renew, Your Subscription will automatically renew and You will be charged the same Subscription fee you paid when you first contracted Your Subscription.

 

Billing

 

You shall provide the Company with accurate and complete billing information including full name, address, state, postcode, and a valid payment method information.

 

Fee Changes

 

The Company, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Subscription period.

 

The Company will provide You with reasonable prior notice of any change in Subscription fees to give You an opportunity to terminate Your Subscription before such change becomes effective.

 

Your continued use of the Service after the Subscription fee change comes into effect constitutes Your agreement to pay the modified Subscription fee amount.

 

Refunds

 

Paid Subscription fees are non-refundable.

 

All Buyer fees paid for Content are non-refundable.

 

Certain refund requests for Subscriptions and Content may be considered by the Company on a case-by-case basis and granted at the sole discretion of the Company.

 

Intellectual Property

 

The Service and its original Content, features and functionality are and will remain the exclusive property of the Company and its licensors. 

 

Purchasing a Subscription does not transfer any intellectual property rights to the Subscriber, in particular it does not transfer any personal property or proprietary copyrights to the subject of the Subscription. In particular, the Subscriber has no right to make the materials publicly available in the original or changed versions, except for sharing the materials with their students in a closed and private network environment.
